Request for Proposals for a Consultant to Establish a Branch in Moldova for Street Child UK
1. Background
Street Child is a UK-based international charity that works to ensure children in the most fragile and hard-to-reach communities can access education and overcome the barriers that prevent them from learning. To expand our operations in Eastern Europe, we intend to establish a branch in Moldova. For this, we are seeking the services of a reputable law firm with expertise in Moldovan corporate law and international NGO regulations to assist with the legal aspects of this process.
2. Objective
The objective of this engagement is to hire a qualified services provider to establish and register a branch of Street Child in Moldova, ensuring compliance with local regulations and facilitating the smooth setup of operations in the country.
3. Scope of Work
The law firm will be required to perform the following tasks:
- Legal Advice and Consultation:
- Provide comprehensive legal advice on the process, legal requirements, and implications of establishing a branch of a foreign charity in Moldova.
- Advise on the appropriate legal structure for the branch to ensure compliance with local laws, and the specific needs of an international charity.
- Document Preparation and Review:
- Assist in the preparation, review, and submission of all necessary documentation required for the registration of the branch.
- Draft and review agreements, statutes, powers of attorney, and other necessary legal documents to ensure legal validity.
- Provide a legal address for the new entity.
- Liaison with Authorities:
- Act as a liaison with Moldovan authorities, including the Public Services Agency, banks, and other relevant institutions, to ensure smooth registration and compliance with all legal requirements.
- Assist in obtaining any necessary licenses or permits.
- Compliance with Due Diligence:
- Ensure that all necessary due diligence checks, including anti-corruption, transparency, and governance regulations, are conducted and met.
- Provide support in preparing and submitting reports or additional documentation required by the Moldovan government or Street Child UK.
- Assistance with Opening Bank Accounts:
- Assist in opening a local bank account for the branch, ensuring compliance with all requirements.
- Ongoing Legal Support:
- Provide legal assistance for any additional legal or administrative tasks that may arise during the registration process.
- Offer legal guidance on the operation of the branch after its registration if necessary.
4. Deliverables
- A detailed plan outlining the process and timeline for establishing the branch.
- Drafted and finalized legal documents required for registration.
- Legal address for the registration of the organization/branch.
- Regular updates and reports on the progress of the registration process.
- Confirmation of branch registration, including all relevant registration certificates and approvals.
5. Duration of Assignment
The assignment is expected to be completed within 2-3 months from the date of the contract signing. However, the timeline is subject to change based on the requirements of the Moldovan authorities.
6. Qualifications and Experience
The law firm should have:
- Proven expertise in Moldovan corporate law, specifically in relation to the registration of foreign entities.
- Experience in working with non-profit organizations and NGOs, preferably with international charities.
- A thorough understanding of the legal requirements and processes related to opening branches of international entities in Moldova.
- Strong relationships with relevant government bodies and institutions in Moldova.
- Excellent communication skills and the ability to provide updates and advice in English.
7. Submission of Proposals
Interested law firms should submit their proposals, which should include:
- A brief introduction to the firm, including relevant experience and qualifications.
- A detailed approach to the assignment, outlining the process and expected timeline.
- A list of key personnel who will be involved in the assignment, along with their qualifications and relevant experience.
- A fee structure, including a breakdown of costs for each phase of the assignment.
- References from previous similar work.
