Background

HelpAge International - is a global network of organisations working towards a fairer world for older people so they can live safe, healthy, and dignified lives. In addition to working with more than 150 network members in 56 countries, HelpAge has been operating in Moldova since 2005.

Office Closure - HelpAge is strongly committed to the localization. In HelpAge International, the term “localisation” is used to mean humanitarian and development projects being designed and delivered by national or local organisations which are led and governed within countries, instead of international organisations. As part of localisation, Moldova country programme also went through a country transition process which is now in transition phase. HelpAge International country offices will officially close and the programming model at country level will strictly be through local partners.

This consultancy will ensure that the office closure process adheres to the Government policies governing operation of Non-Governmental Organisations in Moldova and guidelines regarding human resource or Labor laws.

Purpose, objectives and scope

The purpose of the consultancy is to clearly list the steps involved in office closure, the cost involved and the duration of this process. S/he will guide, facilitate, and deliver on the office closure process for HelpAge International in Moldova and organise all documents and steps needed to complete the process. This consultancy will ensure that the office closure process follows all steps of the process as per the local laws and ensure all liabilities, if any are managed and discharged. It involves adhering to the legal frameworks, Government policies governing operation and closing of Non-Governmental Organisations in Moldova.

Objectives and Scope

• Provide legal service for de-registration and a termination of activity of the branch office of organisation "HelpAge International" (HelpAge International Moldova)
• Provision of consultations and drafting documents in accordance with the requirements of local legislation during the process of liquidation of the Branch office.
• Submission of all necessary documents to the relevant government Ministries, and departments as required by law or practice, including the labour office.
• The consultant will clarify the legal frameworks and timelines for office closure of the HelpAge country office and the implications of status change on institutional arrangements and human resources, if any.
• Ensure that throughout the process and following, the reputation of HelpAge International Moldova is protected and that neither ongoing projects nor Global team members operating in country are negatively impacted by the closure of the Moldova office.

Methodology and process to be agreed with the consultant who will confirm the necessary tasks and develop a workplan.

The consultant will report to a task team convened by HelpAge International to accompany this process. This team will include Programme Operations Support Manager, Finance Business Partner, Head of Localisation, Country Representative.

Deliverables

• Country Office closure stepwise process plan
• Country Office closure report
• De-registration certificate.
• Staff signed certificate of exit and relevant documentation for legal compliance

Qualifications

The consultant can either be a firm or an individual professional lawyer with legal academic background and at least more than 5 years’ experience with similar assignments.
